GENERAL TERMS AND CONDITIONS
Effective: October 10, 2025
1. IDENTITY OF SONAK
- In these General Terms and Conditions (For Purchase of Products) ("Terms") as well as this Website ("Website"), "SONAK" or "we" refers to SONAK ASIA PTE. LTD., a company incorporated and registered in Singapore. We have our branch office address here in the Philippines at the 30th Floor, Parkway Corporate Center, Corporate Ave. corner Parkway Place, Filinvest City, Alabang, Muntinlupa City 1781.
- Under the terms of the Master Service Agreement that we entered into with ABC-Mart Sonak Philippines Inc. (“ASP”), we are vested with the authority to offer and sell ASP Products (“Products”) via digital and e-commerce platforms.
2. APPLICABILITY
- These Terms apply to the sale and purchase of Products on the herein Website as between SONAK and the Customer who makes such purchase (“Customer” or “You”). By submitting an order to SONAK through the herein website, you shall be bound by the Terms set forth herein.
- Individually, SONAK and Customer is referred herein as “Party” and collectively, as “Parties”.
3. TERRITORY
SONAK may only deliver Products within the Philippines ("Territory").
4. PRODUCTS
- The Customer can place an order (“Order”) for the Products on the Website at the prices indicated therein.
- The Products specifications are indicated in the description on the Website. The scope of applicable after-sales support and commercial warranties is expressly set forth herein and in the corresponding order confirmation to be received by the Customer through e-mail.
- SONAK guarantees to Customer the conformity of the Products that they ordered to the one posted on the Website. In case the delivered Product is defective or differs from what was originally ordered, the Customer may return it to SONAK and avail of the remedies outlined herein.
5. ORDER PROCEDURE
- An Order is placed by clicking on the "Add to Cart" button and proceeding to the checkout page.
- Customer shall provide his correct name, phone number, email address, payment details, the delivery address within the Territory, and other required information in the Order panel.
- Prior to confirming the Orders, the Customer shall be given the opportunity to review the Order details, verify the total price and rectify all submitted information and read and accept these Terms.
- A confirmed Order from the Customer does not bind SONAK. It is considered merely as an offer to buy the Products. SONAK must formally accept each Order and may decline at its discretion.
- Upon receipt of the Customer’s Order, SONAK shall, within a reasonable time, issue an acknowledgment to the Customer at his provided e-mail address. This email will confirm receipt of the Order and outline the details of the Product(s) ordered. For clarity, the acknowledgment e-mail does not constitute acceptance of the Order, but merely confirms that SONAK has received it.
6. PERFECTION OF CONTRACT OF SALE
- Upon receipt of the Customer’s Order, SONAK shall verify the availability of the Products. The Contract of Sale between SONAK and the Customer shall only be deemed perfected once SONAK sends a confirmation email with the indication of the availability of the Products and the dispatch thereof.
- The confirmation email and these Terms shall constitute the Contract of Sale between the Customer and SONAK. In case of conflict, these Terms shall prevail.
7. PRICES
- The applicable price for the Product shall be the prevailing retail price at the time the Order is placed. This price will be reflected in both the acknowledgment e-mail and the confirmation e-mail.
- All prices listed on the Website include Value Added Tax, but exclude the costs of delivery. Delivery fees will be indicated separately during the finalization of the order procedure, and may vary depending on the date, location of delivery, and the quantity of the Orders, among others.
8. MISTAKE IN PRODUCT DETAILS
- In the event SONAK errs in presenting the Product online—whether in its description, specifications, or listed price—the Customer agrees that, upon check-out of the Products, Customer’s sole remedy is reimbursement of the purchase price thereof. SONAK shall promptly notify the Customer and process the reimbursement within a reasonable period thereafter.
- In case of reimbursement, SONAK shall not be held to deliver any Product that is ordered by the Customer, nor to reimburse the Customer for any incurred damages and interests.
9. PAYMENT
- The Customer may remit payment using any of the following methods:
- Credit/Debit card (MasterCard or Visa): During the order procedure, the Customer should fill out his credit card number and expiry date. Customer shall ensure that the exact name is filled out as is stated on the credit/debit card. The payment will be authorized online, so the Customer will know directly whether or not the payment has been successful;
- COD: the Customer should pay cash upon receiving the item;
- GCash: During the order procedure, the Customer shall enter his mobile number to log in to his GCash account then enter the amount due;
- GrabPay: During the order procedure, the Customer should open his Grab application from his phone and scan the QR code using the scanner from the application.
- Banco De Oro (“BDO”) / Rizal Commercial Banking Corporation (“RCBC”) Over the Counter: a merchant reference number will be provided and the Customer can pay cash over the counter to any BDO/RCBC branch; or
- Bayad Center/ECPAY: a merchant reference number will be provided and the Customer can pay cash at any Bayad Center over the counter outlet and ECPAY partner outlet.
10. DELIVERY
SONAK shall ensure delivery of the Product to the address indicated in the confirmation e-mail.
11. RETURN AND REFUND
- The Customer is entitled to return the Products without giving any reason and in conformity with SONAK’s Returns Policy within 14 calendar days from:
- the date on which all the Products ordered in a single transaction have been delivered; or
- the date on which all the Products ordered in a single transaction have been picked up at the store.
- The right to return the Products laid down herein only applies when the same were purchased via the herein Website. To exercise the foregoing, the Customer shall contact support@abc-mart.com.ph within the 14-day reglementary period.
- The Customer shall ship the Products back to SONAK in accordance with SONAK’s Returns Policy without undue delay from the day that the Customer communicates the intent to return to SONAK through support@abc-mart.com.ph. SONAK does not assume the risk for the damage or loss of returned Product in transit, unless SONAK consents for the contrary in writing.
- Subject to the succeeding clause, SONAK shall effect the reimbursement not later than 14 calendar days after SONAK, through support@abc-mart.com.ph, has been informed about the decision to return the Product and has actually received the same, whichever is later. SONAK has the option to carry out such reimbursement using the same means of payment as Customer used for the transaction, or through any other means.
- SONAK shall not be obliged to effect the reimbursement unless it has duly received the returned Products from the Customer, and that it has already determined that the return process was in accordance with its Returns Policy. The Customer shall receive an email notification that SONAK has finished processing Customer's return.
- SONAK’s liability shall be limited solely to the refund of the purchase price of the returned Products, excluding delivery charges, unless reimbursement of such charges is expressly agreed to in writing.
- The amount to be refunded to the Customer by SONAK shall be reduced to account for any deterioration attributable to the Customer’s use or handling of the Product.
- In order to ensure that the value of the Products is not diminished, SONAK urges the Customer:
- Not to damage the Product;
- Not to remove tags attached to the Product;
- Have the Product in its original packaging;
- Not to wear, wash, and/or alter the Product.
- The Customer shall not be entitled to return the Product in accordance with the terms set forth herein under the following circumstances:
- The Product was manufactured or supplied in accordance with the Customer’s request for customization or personalized specifications;
- The Product not suitable anymore for return for health or hygiene reasons;
- Any other circumstances where SONAK determines that the Product’s original condition has not been preserved.
12. LIMITATION OF LIABILITY
- SONAK shall not be liable, whether in tort, contract or otherwise, for any consequential, indirect, special, punitive, exemplary, incidental damages, or for any loss of profit, revenue, business, reputation, or goodwill arising out of or in connection with the Customer’s purchase of the product. SONAK shall not be liable for any loss, damage, cost, or expense arising from the acts or omissions of its employees, personnel, agents, or any other persons acting on its behalf, except to the extent that such loss, damage, cost, or expense is directly attributable to SONAK’s bad faith or gross negligence.
- The Customer acknowledges and agrees that SONAK’s total cumulative liability, whether arising in tort or otherwise, in connection with the purchase of the Product shall under no circumstances exceed the total purchase price of the Product.
13. PERSONAL DATA
As regards processing of Personal Data or Information of Customers, SONAK’s Privacy Policy shall apply. The Privacy Policy can be found on the Website under the link “Privacy Policy.”
14. CUSTOMER WARRANTIES
- The Customer represents and warrants that he is of legal age and possesses full legal capacity to enter into a binding contract of sale under applicable laws. If the Customer is below 18 years of age, they are duly assisted by a parent or legal guardian who has provided explicit consent.
- The Customer voluntarily consents to the collection, use, and processing of their personal information—including but not limited to name, age, gender, birthday, address, email address, and phone number—for purposes including the fulfillment and delivery of purchased Products, participation to loyalty programs such as ABClub, and to other marketing, promotional and advertising initiatives of SONAK.
- The Customer affirms that all personal information provided to SONAK is true, accurate, and complete. The Customer understands that SONAK relies on this information for processing transactions, delivering Products, and administering benefits. In the event that any information provided is false, inaccurate, or misleading, the Customer agrees that SONAK shall not be held liable for any resulting delay, error, or failure in performance.
15. COMPLAINTS AND OTHER CONCERNS
Customer complaints and other concerns may be coursed through support@abc-mart.com.ph. SONAK’s normal business hours is from 09:00am to 6:00pm, Monday to Friday, except national holiday.
16. MISCELLANEOUS
- Non-Assignability: Unless otherwise expressly provided in these Terms, neither Party shall assign, transfer, or delegate any of its rights or obligations under this Agreement to any third party without the prior written consent of the other Party.
- Binding Effect: Except as otherwise expressly provided, these Terms shall inure to the benefit of and be binding upon each Party thereto, and their respective successors and assigns.
- Amendments: SONAK may update these Terms from time to time, with the changes taking effect on the date of effectivity as indicated.
- Arbitration: In the event any dispute with respect to any of the provision of the herein Terms, the Parties shall meet as promptly as practicable after notice to resolve such dispute. Any dispute, controversy, or claim between the Parties arising from or in relation to the Terms shall first be settled amicably and shall not be a matter of court adjudication except for the enforcement of the arbitral award. In case the dispute is not settled, Parties shall enter arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc., Arbitration. The Arbitration panel shall be composed of three (3) arbitrators. Each Party shall designate an arbitrator, and the two arbitrators designated shall select the third arbitrator who will act as the presiding arbitrator. The decision of the arbitration panel shall be final and executory unless properly set aside by a competent court on grounds allowed by law. The costs of arbitration shall be divided between the Parties.
- Governing Law and Jurisdiction: These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of the Philippines. For the enforcement of the arbitral award, the parties hereby agree to submit themselves to the exclusive jurisdiction of the proper courts of Muntinlupa City, Philippines, to the exclusion of other courts.
- Severability: If any provision of these Terms is held to be illegal, invalid, or unenforceable, such provision shall be modified to the minimum extent necessary to make it legal, valid, and enforceable. If such modification is not possible, the Parties shall negotiate in good faith to amend such provision to achieve a legal, valid, and enforceable provision that, to the greatest extent possible, reflects the Parties' original commercial intent. The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of the remaining provisions.
- Suppletory Application: In matters not expressly governed by the foregoing provisions, SONAK’s Cookies Policy Disclaimer, Privacy Policy, and any other officially issued memoranda addressing specific concerns shall apply suppletorily.
